Golfify Host Terms & Conditions

1. Introduction

These Host Terms and Conditions (“Host Terms”) govern the relationship between Golfify Ltd (“Golfify”, “we”, “our”, or “us”) and any individual, club, or organisation (“Host”, “you”, or “your”) that creates and manages tournaments or events through the Golfify platform (“Platform”).

By listing an event on the Platform and accepting payments through it, you agree to be bound by these Host Terms. These Host Terms should be read in conjunction with our general Terms of Service and Privacy Policy.

2. Role of Golfify

2.1 Platform Services

Golfify provides a platform that enables you to create, manage, and promote golf tournaments and events, and to collect entry fees from participants (“Players”). Golfify acts solely as a technology provider and payment facilitator. Golfify is not a co-organiser, partner, or agent of the Host.

2.2 No Employment or Agency Relationship

Nothing in these Host Terms creates an employment, agency, joint venture, or partnership relationship between Golfify and the Host. You are solely responsible for the organisation, management, and delivery of your events.

3. Payment Processing

3.1 Third-Party Payment Processor

All payments collected through the Platform are processed by Stripe or such other third-party payment processor as Golfify may use from time to time (“Payment Processor”). By using the Platform to collect payments, you agree to the Payment Processor’s terms of service and any associated agreements, including Stripe’s Connected Account Agreement where applicable.

3.2 Payment Flow

When a Player makes a payment for your event through the Platform, the total payment comprises the Event Entry Fee (set by you) and the Golfify Application Fee (charged by Golfify to the Player). The Event Entry Fee is collected by the Payment Processor on your behalf and paid out to your connected account, less any applicable Payment Processor fees.

3.3 Payment Processor Fees

All fees charged by the Payment Processor (including but not limited to transaction fees, percentage-based fees, and any fixed per-transaction charges) are your sole responsibility. These fees are deducted from the Event Entry Fee before payout to your account. Golfify has no control over the Payment Processor’s fee structure and accepts no liability for any changes to these fees.

You acknowledge that Payment Processor fees may vary depending on the Player’s payment method, card type, and issuing country, and that Golfify cannot guarantee a specific net amount for any transaction.

3.4 Currency and Exchange Rates

You are solely responsible for selecting the currency in which your Event Entry Fee is denominated. Where a Player’s payment is made in a different currency to your payout currency, the Payment Processor will apply a currency conversion at its prevailing exchange rate, which may include a conversion fee.

Golfify has no control over exchange rates applied by the Payment Processor and accepts no liability for any losses, shortfalls, or costs arising from currency conversion. Any difference between the amount paid by the Player and the amount received by you due to currency conversion is entirely your responsibility.

3.5 Payout Timing

Payouts are subject to the Payment Processor’s standard processing schedule and any holding periods that may apply. Golfify does not control payout timing and is not liable for any delays in receiving funds. You should refer to the Payment Processor’s documentation for current payout schedules.

3.6 Golfify Application Fee

The Golfify Application Fee is charged separately to the Player and is not deducted from the Event Entry Fee. You acknowledge that the Golfify Application Fee is set by Golfify at its sole discretion and may be changed from time to time with reasonable notice.

4. Your Obligations as Host

4.1 Event Delivery

You are solely responsible for the organisation, management, and delivery of any event listed on the Platform. You agree to deliver the event substantially as described in the event listing, including the date, time, venue, format, and any other details provided to Players.

4.2 Accurate Information

You must ensure that all information provided in your event listing is accurate, complete, and not misleading. This includes the event name, dates, venue, format, entry fees, and any applicable rules or eligibility requirements.

4.3 Compliance with Laws

You are responsible for ensuring that your event complies with all applicable local, national, and international laws and regulations, including but not limited to health and safety requirements, insurance obligations, licensing requirements, and data protection legislation.

4.4 Insurance

You are strongly advised to maintain appropriate insurance coverage for your events, including public liability insurance. Golfify does not provide any insurance coverage for events listed on the Platform.

4.5 Communication with Players

You agree to respond to Player enquiries in a timely and professional manner, and to communicate any material changes to your event (including cancellation or rescheduling) to affected Players as soon as reasonably practicable.

4.6 Tax Obligations

You are solely responsible for determining and fulfilling any tax obligations arising from payments received through the Platform, including income tax, VAT, or any other applicable taxes. Golfify does not provide tax advice and is not responsible for your tax compliance.

5. Refunds and Cancellations

5.1 Your Refund Policy

You are responsible for establishing and communicating a clear refund and cancellation policy for your events. This policy should be made available to Players before they make a payment.

5.2 Processing Refunds

Where you agree to refund a Player’s Event Entry Fee (whether in whole or in part), the preferred method is to process the refund through the Platform. Refunds processed through the Platform will also trigger a refund of the Golfify Application Fee to the Player, where applicable.

If you choose to process a refund directly through the Payment Processor outside of the Platform, the Golfify Application Fee will not be refunded to the Player, as Golfify will have no visibility of the refund. You are responsible for communicating this to the Player.

You acknowledge that Payment Processor fees incurred on the original transaction may not be refunded by the Payment Processor when you issue a refund, and that any such non-refundable fees are your responsibility.

5.3 Refunds Initiated by Golfify

Golfify reserves the right, at its sole discretion, to initiate refunds of Event Entry Fees and/or Golfify Application Fees to Players where Golfify reasonably determines that an event has not been delivered as described, fraudulent or misleading activity has occurred, or it is otherwise necessary to protect the interests of Players or the integrity of the Platform. In such cases, Golfify may deduct the refunded amount from any pending or future payouts to your account. Golfify will use reasonable endeavours to notify you before initiating any such refund, but is not obligated to do so where urgent action is required.

5.4 Event Cancellation

If you cancel an event, you are responsible for communicating the cancellation to all affected Players and arranging appropriate refunds. Golfify may, at its discretion, assist in notifying Players of the cancellation, but this does not transfer any responsibility for refunds or compensation to Golfify.

5.5 Player Disputes

Any disputes regarding refunds, event quality, or event delivery are between you and the Player. You agree to handle all such disputes directly and in good faith. Golfify is not a party to any dispute between you and a Player and has no obligation to mediate or resolve such disputes.

6. Limitation of Liability

6.1 Golfify’s Liability

To the maximum extent permitted by law, Golfify’s total liability to you in connection with the Platform and these Host Terms shall not exceed the total Golfify Application Fees generated from the specific transaction(s) giving rise to the claim.

6.2 Exclusions

Golfify shall not be liable for any loss or damage arising from Payment Processor fees, charges, or deductions; currency conversion costs or exchange rate fluctuations; delays or failures in payment processing by the Payment Processor; any acts or omissions of Players; loss of revenue or profit arising from event cancellations or low attendance; or any circumstances beyond our reasonable control.

6.3 Your Liability

You agree to indemnify and hold harmless Golfify, its directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with your events, any breach of these Host Terms, any breach of applicable laws or regulations, or any dispute between you and a Player.

7. Account and Data

7.1 Payment Processor Account

To receive payouts, you must maintain an active account with the Payment Processor. You are responsible for keeping your Payment Processor account details accurate and up to date. Golfify is not liable for any misdirected payments resulting from incorrect account information.

7.2 Player Data

In the course of managing your events, you may have access to personal data of Players, including names, email addresses, and handicap information. You agree to handle all Player data in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. You must not use Player data for any purpose other than the management and delivery of your events, unless you have obtained separate, explicit consent from the Player.

8. Suspension and Termination

8.1 By Golfify

Golfify reserves the right to suspend or terminate your access to the Platform at any time if you breach these Host Terms, if we receive a material number of complaints from Players, if we reasonably suspect fraudulent or illegal activity, or if required to do so by law or the Payment Processor.

8.2 By You

You may stop using the Platform at any time. However, you remain responsible for fulfilling all obligations in respect of events for which Players have already made payments, including delivering the event or providing appropriate refunds.

8.3 Effect of Termination

Termination does not affect any obligations or liabilities that have accrued prior to the date of termination. Provisions relating to liability, indemnification, and data protection shall survive termination of these Host Terms.

9. Changes to These Terms

Golfify reserves the right to update these Host Terms at any time. Material changes will be communicated to you via email or through the Platform with reasonable notice. Continued use of the Platform following any changes constitutes your acceptance of the revised Host Terms. If you do not agree with any changes, you should stop using the Platform.

10. Governing Law

These Host Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Host Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
